This End-User License Agreement ("Agreement") is a legal contract between you ("User", "You") and Molecular Quantum Solutions ApS ("MQS", "We", "Us", "Our"), governing your access to and use of the Cebule® Platform, including any software, container images, APIs, documentation, and related services provided by MQS.
This Agreement applies exclusively to individual end users who access and use the Cebule® Platform. It does not apply to corporate customers or entities contracting with MQS under separate service agreements.
MQS hereby grants you a non-exclusive (unless exclusivity is granted in the Service Agreement your use is based on), non-transferable, revocable, and limited license to access and use the Cebule® Platform solely for your internal business purposes. This license is subject to the terms and conditions set forth in this Agreement. You are not granted any rights to the source code, underlying algorithms, or container image contents beyond what is necessary to use the service as intended. All rights not expressly granted herein are reserved by MQS.
All content, software, container images, and associated metadata provided by MQS are the exclusive property of MQS or its licensors. This includes, but is not limited to, source code embedded in or used to generate container images, configuration files, scripts, compiled binaries, documentation, and service architecture. You agree not to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or structure of any container image or software component. You further agree not to modify, copy, reproduce, distribute, or create derivative works from any part of the service, nor use the service to develop competing products or services.
MQS container images may include proprietary code and configurations. You acknowledge and agree that, although container images are executable, they may contain readable layers or metadata that expose sensitive implementation details. You are expressly prohibited from inspecting, extracting, or analyzing these layers for any purpose other than permitted use. Any attempt to access or manipulate the contents of container images beyond their intended runtime use constitutes a material breach of this Agreement. MQS employs technical and legal measures to protect its container image code, including image signing and verification, obfuscation and encryption of sensitive layers, and monitoring and auditing of usage patterns.
You agree not to use the service in violation of any applicable laws or regulations. You must not share access credentials or license keys with unauthorized parties, circumvent any security or access controls implemented by MQS, or use the service in a manner that could harm MQS infrastructure or reputation. Any unauthorized use of the service may result in immediate termination of your license and legal action.
MQS reserves the right to terminate this Agreement immediately if you breach any provision, especially those related to intellectual property or container image protection. Upon termination, all rights granted to you under this Agreement will cease, and you must discontinue all use of the service and delete any locally stored data or images obtained through the service.
You agree to indemnify, defend, and hold harmless MQS, its affiliates, officers, directors, and employees from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your breach of this Agreement or misuse of the services.
The service is provided "as is" without warranties of any kind. MQS disclaims all implied warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. MQS does not warrant that the service will be uninterrupted, error-free, or secure.
You acknowledge and agree that any outputs, results, analyses, predictions, or other content generated by the MQS services, including but not limited to those produced via the MQS Platform, APIs, or the Cebule® Platform, are provided for informational purposes only. MQS does not guarantee accuracy, completeness, reliability, or fitness for a particular purpose of such outputs. The use of any such output is at your sole risk. MQS shall not be liable for any decisions made or actions taken based on such outputs, nor for any consequences arising therefrom.
To the maximum extent permitted by law, MQS shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the service, including but not limited to loss of data, loss of profits, or business interruption.
This Agreement shall be governed by the laws of Denmark, without regard to its conflict of law principles. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Copenhagen, Denmark.
MQS may update this Agreement from time to time. Continued use of the service after changes are posted constitutes acceptance of the revised terms. MQS will make reasonable efforts to notify users of significant changes.
MQS may collect usage data and metadata for service improvement and security monitoring. Personal data will be processed in accordance with applicable data protection laws and MQS's Privacy Policy (https://mqs.dk/legal/MQS_Privacy_Policy.html).
